By accessing or using IndexIQ ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and IndexIQ ("Company," "we," "our," or "us") concerning your access to and use of the Service.

2. Description of Service

IndexIQ provides a SEO intelligence platform that connects to Google Search Console to provide analytics, insights, and recommendations for improving search engine optimization. The Service includes:

  • Search performance analytics and reporting
  • Keyword tracking and opportunity identification
  • Technical SEO issue detection
  • Content optimization recommendations
  • Automated SEO task management

3. Account Registration

3.1 Account Creation

To use certain features of the Service, you must register for an account. When you register, you must provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Responsibilities

You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password
  • Accept all risks of unauthorized access to your account
  • Notify us immediately upon discovering any unauthorized use of your account

4. Acceptable Use Policy

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any laws
  • Attempt to gain unauthorized access to any portion of the Service
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Use any robot, spider, or other automatic device to access the Service

  • Use the Service to spam or send unsolicited communications
  • Scrape, data mine, or collect data from the Service without authorization
  • Reverse engineer or attempt to extract the source code of the Service
  • Use the Service to compete with or create a similar product
  • Share your account credentials with third parties

5. Google Search Console Integration

When you connect your Google Search Console account to IndexIQ:

  • You grant us permission to access your GSC data as described in our Privacy Policy
  • You represent that you have the authority to grant such access
  • You acknowledge that you are responsible for complying with Google's Terms of Service
  • You may disconnect your GSC account at any time through your account settings

6. Subscription and Payments

6.1 Subscription Plans

IndexIQ offers various subscription plans with different features and pricing. By subscribing to a paid plan, you agree to pay the applicable fees as described at the time of purchase.

6.2 Billing Cycle

Subscriptions are billed on a monthly or annual basis, depending on the plan you select. Your subscription will automatically renew unless you cancel before the end of the current billing period.

6.3 Free Trial

We may offer a free trial period. At the end of the trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends.

6.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.

7. Intellectual Property

7.1 Our Rights

The Service, including all content, features, and functionality, is owned by IndexIQ and is protected by international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written consent.

7.2 Your Rights

You retain ownership of any data you provide to the Service. By using the Service, you grant us a limited, non-exclusive, non-transferable license to use your data solely to provide the Service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT GUARANTEE ANY SPECIFIC RESULTS FROM USING THE SERVICE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL INDEXIQ, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless IndexIQ and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:

  • Your right to use the Service will immediately cease
  • We may delete your account and associated data
  • Provisions that by their nature should survive termination shall survive

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which IndexIQ operates, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of that jurisdiction.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
